EULA

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("user," "you," or "your") and Crystal Council LLC ("we," "us," or "our"), governing your use of Crystal Council App ("the App"), a mobile application for iOS devices.

By downloading, installing, or using the App, you agree to be bound by the terms and conditions of this EULA. If you do not agree to the terms of this EULA, do not download, install, or use the App.

1. License Grant

Subject to the terms of this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on a single iOS device that you own or control, solely for your personal, non-commercial use.

2. Restrictions

You agree not to, and will not permit others to:

  • a) Copy, modify, or create derivative works based on the App;
  • b) Distribute, transfer, sublicense, lease, lend, or rent the App to any third party;
  • c) Reverse engineer, decompile, or disassemble the App, or attempt to derive its source code, except as permitted by applicable law;
  • d) Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices contained in or on the App;
  • e) Use the App for any illegal, unauthorized, or unethical purposes.

3. Ownership

The App is licensed, not sold, to you. We and our licensors retain all right, title, and interest in and to the App, including all intellectual property rights therein. The App is protected by copyright, trademark, and other intellectual property laws.

4. Termination

This EULA is effective until terminated by you or us. You may terminate this EULA at any time by uninstalling and ceasing all use of the App. We may terminate this EULA, with or without notice, if you breach any of the terms of this EULA. Upon termination, you must immediately cease all use of the App and destroy all copies, full or partial, of the App in your possession or control.

5. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

6. Limitation of Liability

IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE APP, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID FOR THE APP, IF ANY.

7. Indemnification

You agree to indemnify, defend, and hold harmless us, our affiliates, and our respective officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the App, your breach of this EULA, or your violation of any rights of a third party.

8. Governing Law and Dispute Resolution

This EULA is governed by the laws of the U.S.A., without regard to its conflict of laws principles. Any dispute arising out of or related to this EULA shall be resolved exclusively by final and binding arbitration administered by a mutually agreed-upon arbitration service and conducted in Las Vegas, NV. The language of the arbitration shall be English.

9. Changes to this EULA

We may update this EULA from time to time. Any changes will be effective when we post the updated EULA on the App or notify you by other means. Your continued use of the App after the effective date of such changes constitutes your acceptance of the updated EULA.
